PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS SITE.

By using the NTAOnline.com Web Site (the "Web Site"), the user acknowledges and confirms the user’s consent to these terms and conditions of use. If the user does not agree to these terms and conditions of use, the user must not use this Web Site.

The Web Site is owned and operated by the National Tour Association (NTA). NTA welcomes users to browse the Web Site, with the understanding that the users access to, and use of, the Web Site is subject to the specific terms and conditions set forth herein and all applicable federal, state and local laws and regulations. If user is dissatisfied with any of the products, services, materials or information contained or identified on the Web Site, user’s sole and exclusive remedy with respect to NTA, its officers, directors, members, agents, contractors, employees, authorized representatives, subsidiaries, affiliates and assigns is to immediately discontinue accessing and using the Web Site. The user has no right of privacy with respect to the user’s use of the Web Site and NTA may copy and use for any purpose, any information generated from user’s use of the Web Site.

NTA is making available for user’s review and examination on the Web Site materials, information, and products and content supplied by third parties. Any opinions, advice, statements, services, offers or other information or content expressed or made available by third parties are those of the respective authors or distributors and not of NTA, its officers, directors, members, agents, contractors, employees, authorized representatives, subsidiaries, chapters, affiliates and assigns. Without restricting any of the foregoing limitations, conditions or disclaimers, neither NTA, nor any third party providing information or products, guarantees the accuracy, completeness, or usefulness of any materials, information, products, services or content provided on or through the Web Site.

NTA reserves the right, at any time, without condition or restriction, to change or discontinue any aspect or feature of the Web Site, including, without limitation, content, hours of availability, and equipment required for access or use.

This Web Site contains links and pointers to internet Web Sites maintained by third parties ("Third Party Sites"). NTA, its officers, directors, members, agents, contractors, employees, authorized representatives, subsidiaries, chapters, affiliates and assigns are not responsible or liable for the contents of or use of any products or services offered on this or any other Third Party Sites and make no representations or warranties of any kind regarding the same.

Limitation of Liability
In no event shall NTA, its officers, directors, members, agents, contractors, employees, subsidiaries, chapters, affiliates and assigns or its licensors, suppliers or any other party involved in the creation, production or delivery of the Web Site be liable for any incidental, consequential, direct, actual, indirect, reliance, special or punitive damages arising out of or relating to user’s access to, or use of, or inability to use the Web Site or the materials contain within the Web Site, or this agreement, including without limitation damages for harm to business, lost profits, lost savings or lost revenues.

Legal Compliance
User shall comply with all domestic and international laws, rules and regulations in user’s use of the Web Site. User shall not take any actions, which may or will endanger or interfere with the Web Site or with the rights of any other user of the Web Site.

Indemnity
User agrees to indemnify and hold harmless NTA, and its officers, directors, members, agents, contractors, employees, authorized representatives, subsidiaries, chapters, affiliates and assigns, and to provide a legal defense (with counsel selected by NTA) to NTA and/or its officers, directors, members, agents, contractors, employees, authorized representatives, subsidiaries, chapters, affiliates and assigns from or in connection with any claim, demand, lawsuit, proceeding, losses and/or judgments made, asserted, or by any third-party, arising by reason of your breach of this Agreement, user’s violation of any law, rule or regulation, or the rights of any third-party.

Miscellaneous
The terms and conditions of use of the Web Site shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky without giving effect to any principles of conflicts of law. Users of the NTAOnline.com Web Site hereto agree that any suit, action or proceeding with respect to this Agreement may only be brought in or entered by, as the case may be, (a) the courts of the State of Kentucky, sitting in Fayette County, or (b) the United States District Court for the District of Kentucky and the user hereby submits to the non-exclusive jurisdiction of such courts for the purpose of any such suit, action, proceeding or judgment and waive any other preferential jurisdiction by reason of domicile. The user hereby irrevocably waive any objection that user may now have or hereafter have to the laying of venue of any suit, action or proceeding arising out of or related to this Agreement, being brought in the courts of the State of Kentucky, sitting in Fayette County or the United States District Court for Kentucky and also hereby irrevocably waive any claim that any such suit, action or proceeding brought in any one of the above-described courts has been brought in an inconvenient forum. This is the entire agreement between the parties relating to the subject matter herein and shall not be modified except in writing, signed by authorized representatives of both parties. If user does not agree to the foregoing terms and conditions of use or is not authorized to enter into these terms and conditions, the user shall please exit the Web Site immediately.
